Terms of Service

Last updated: August 11, 2026

These Terms of Service ("Terms") are a binding agreement between you and Plexa AI, LLC ("Plexa AI", "we", "us") and govern your access to the Plexa AI website, the Jervis assistant, our APIs, compute reservations and every related service (together, the "Services"). By creating an account, clicking accept, or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 13 years old to use the Services, and at least 18 (or the age of majority where you live) to purchase a paid plan or reserve compute. If you are between 13 and 18 you may only use the Services with the consent and supervision of a parent or legal guardian.

You are responsible for everything that happens under your account, for keeping your credentials confidential, and for the accuracy of the information you give us. Notify us immediately at security@plexaai.app if you suspect unauthorised access.

If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation.

2. The Services

Plexa AI provides AI-assisted chat, research, automation agents, image and video generation, SEO and social tooling, and optional dedicated GPU compute. Features evolve continuously; we may add, change, deprecate or remove functionality, and we will give reasonable notice of material adverse changes to paid features.

Some features are labelled beta, preview or experimental. They are provided as-is, may be unstable, may be rate-limited, and may be withdrawn at any time.

3. Your content and our output

"Input" means anything you submit to the Services (prompts, files, images, code, data). "Output" means anything the Services generate in response.

You retain ownership of your Input. Subject to your compliance with these Terms, we assign to you all rights we hold in the Output generated for you, so you may use it for any lawful purpose, including commercially.

You grant us a worldwide, non-exclusive licence to host, process, transmit and display your Input and Output solely to operate, secure, support and improve the Services, and to comply with law.

Because AI systems are probabilistic, Output may not be unique. Similar or identical Output may be generated for other users, and we make no claim of exclusivity over Output.

You are responsible for your Input and for evaluating Output before relying on it. You must have the rights necessary to submit your Input.

4. Acceptable use

You must follow our Acceptable Use Policy. In short, do not use the Services to break the law, harm people, generate sexual content involving minors, produce targeted harassment, build weapons or malware, run high-volume automated abuse, impersonate others deceptively, or circumvent safety systems, quotas or access controls.

You may not resell, sublicense, reverse-engineer, scrape, or use the Services to train a competing foundation model, except where such restriction is prohibited by law.

5. Plans, credits and billing

Free plans include daily and hourly limits. Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. Usage-weighted credits are consumed according to the cost of the underlying operation; heavier tasks (image, video, deep research, long agent runs) consume more than a short chat.

Compute reservations and node contracts are governed by the specific contract terms shown at checkout, including any minimum term, and take precedence over this section where they conflict.

Prices exclude taxes unless stated. You are responsible for applicable taxes. Failed payments may lead to suspension, downgrade to Free, or termination.

Cancellation stops future renewals; access continues until the end of the paid period. Refunds are handled under our Refund and Billing Policy.

6. Intellectual property

The Services, including software, models orchestration, interfaces, branding, and documentation, are owned by Plexa AI or its licensors and protected by intellectual property law. We grant you a limited, revocable, non-transferable licence to use the Services in accordance with these Terms.

Feedback you send us may be used without restriction or compensation.

7. Third-party services

The Services may interoperate with third-party platforms you connect (for example storage, publishing, analytics or messaging providers). Your use of those platforms is governed by their terms, and we are not responsible for them.

8. Suspension and termination

You may stop using the Services at any time and delete your account from Settings. We may suspend or terminate access immediately if you materially breach these Terms, create legal or security risk, or if required by law. Where practical we will give notice and an opportunity to cure.

On termination, your licence ends and we may delete your data after the retention window described in the Privacy Policy.

9. Disclaimers

THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

Output may be inaccurate, outdated, biased or incomplete. The Services do not provide medical, legal, financial, or other professional advice. Always verify important information independently and use human review for consequential decisions.

10. Limitation of liability

To the maximum extent permitted by law, Plexa AI is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total aggregate liability arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).

11. Indemnity

You will defend and indemnify Plexa AI against claims, damages and costs arising from your Input, your Output usage, or your breach of these Terms or of applicable law.

12. Changes to these Terms

We may update these Terms. If changes are material we will notify you in-product or by email before they take effect. Continuing to use the Services after the effective date means you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute informally by contacting legal@plexaai.app. If unresolved within 30 days, disputes will be settled by binding arbitration or by the competent courts of that jurisdiction, except that either party may seek injunctive relief for intellectual-property or security violations.

Nothing in these Terms removes mandatory consumer rights you have under local law.
